RedSpec™ End‑User License Agreement (Web Services)
IMPORTANT – READ CAREFULLY: BY CLICKING “I ACCEPT,” CREATING AN ACCOUNT, OR ACCESSING OR USING THE REDSPEC WEB SERVICES (THE “SERVICES”), YOU AGREE TO THIS END‑USER LICENSE AGREEMENT (THIS “AGREEMENT”) ON BEHALF OF YOURSELF AND, IF APPLICABLE, YOUR EMPLOYER OR OTHER ENTITY ON WHOSE BEHALF YOU MAY BE WORKING OR MAY OTHERWISE REPRESENT. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICES.

1. Definitions.
“RedBuilt,” “we,” “us,” or “our” means RedBuilt LLC.
“You” or “User” means the individual accepting this Agreement and, if applicable, the company or other legal entity on whose behalf the individual accepts this Agreement.
“Services” means the web-based RedSpec software, features, content, documentation, and any updates or support that RedBuilt provides.
“Account” means the credentials and profile that you use to access the Services.
“Designated Products” means structural products manufactured by or for RedBuilt that the Services specify.
“Services Data” means data or content submitted to, stored on, generated by, or otherwise processed by the Services, including input data, results, and technical, diagnostic, and usage data related to the Services.
“Personal Data” means information that identifies or can reasonably identify a natural person and is subject to applicable privacy laws.
2. License and Access.
License. Subject to your ongoing compliance with this Agreement, RedBuilt grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services solely for your internal business purposes in evaluating, specifying, and designing with Designated Products.
Cloud Service. RedBuilt provides the Services online and may change, update, or enhance the Services from time to time, including by adding or removing features.
No Sale. RedBuilt licenses the Services, but does not sell them. RedBuilt and its licensors retain all rights, title, and interest in and to the Services.
3. Accounts and Security.
Registration. You may need to register for an Account to access some or all of the Services. You must provide accurate, current, and complete registration information and keep that information updated.
Credentials. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You will notify RedBuilt promptly of any unauthorized access to or use of your Account.
Access Controls. You will not share, transfer, or resell access to the Services. You will maintain reasonable administrative, technical, and physical safeguards for the systems and devices you use to access the Services.
4. Acceptable Use; Restrictions.
You will not, and will not permit any third party to:
a) use the Services in a way that violates law or infringes others’ rights;
b) reverse engineer, decompile, or otherwise derive any source code or underlying ideas of the Services, except to the extent applicable law makes that restriction unenforceable;
c) interfere with or disrupt the integrity or performance of the Services;
d) circumvent technical limits, security measures, or access controls; or
e) use the Services or any output to design or fabricate components using products other than the Designated Products.
5. Ownership; Feedback.
Except for the limited rights expressly granted in this Agreement, as between you and RedBuilt, RedBuilt and its licensors retain all right, title, and interest, including all intellectual property rights, in and to the Services and related content. If you provide any suggestions, ideas, enhancement requests, recommendations, corrections, or other feedback regarding the Services (“Feedback”), you grant RedBuilt a perpetual, irrevocable, worldwide, non-exclusive, transferable, sublicensable, royalty-free, fully paid-up license to use, reproduce, modify, distribute, display, perform, and otherwise exploit that Feedback for any purpose without restriction, attribution, or compensation to you.
6. Product Specification Restrictions.
RedBuilt designed the Services to specify and evaluate Designated Products. RedBuilt did not design or test the Services for use with other products whose characteristics may or may not differ. You will not use the Services or any results that they generate, directly or indirectly, in connection with designing or fabricating structural components using products other than the Designated Products.
7. Services Changes; Availability; Support.
Availability. RedBuilt strives to make the Services reasonably available, but RedBuilt does not guarantee uninterrupted or error-free operation. Planned maintenance and emergency downtime may occur.
Support. RedBuilt may provide documentation and reasonable support resources. Unless a separate written agreement provides otherwise, RedBuilt does not commit to specific service levels.
8. Services Data; Privacy; Marketing & Sales Use of Usage Data.
Privacy Policy. RedBuilt Privacy Policy describes how RedBuilt collects, uses, and discloses Personal Data and is incorporated into this Agreement by reference: https://www.redbuilt.com/privacy-policy/.
Services Data. You retain any rights you may have in Services Data, subject to the rights you grant in this Agreement. You grant RedBuilt a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, display, and otherwise use Services Data as reasonably necessary to provide, maintain, support, secure, and improve the Services and to enforce this Agreement.
Usage Data. RedBuilt may collect, generate, and use technical, diagnostic, analytics, and usage data regarding how users access and use the Services (“Usage Data”). RedBuilt may use Usage Data to operate, maintain, protect, support, improve, and develop the Services and for analytics and business purposes.
Aggregated/De-identified Data. RedBuilt may create, use, disclose, and otherwise exploit aggregated or de-identified data derived from Services Data and Usage Data for any lawful purpose, provided that the data does not identify you or any natural person.
Marketing and Lead Generation. Subject to applicable law and RedBuilt’s Privacy Policy, RedBuilt may use Usage Data and information you provide, such as organization name, contact information, product interests, and specification activity, to identify potential product needs, generate and qualify sales leads, and contact you or your organization regarding RedBuilt products and services. Where applicable law requires, RedBuilt will provide required notices, obtain required consents, and offer applicable choices or opt-out mechanisms.
Your Responsibilities. You represent and warrant that you have and will maintain all rights, consents, and permissions necessary to submit Services Data to the Services and to grant the rights set out in this Agreement. You further represent and warrant that Services Data, and RedBuilt’s processing of Services Data as authorized by this Agreement, will not violate any applicable law or infringe, misappropriate, or otherwise violate any third-party right.
Data Location; Transfers. You acknowledge and agree that RedBuilt may process and store Personal Data in the United States and in other jurisdictions whose data-protection laws may differ from those of your jurisdiction.
9. Third‑Party Services; Open Source.
The Services may interoperate with, link to, or depend on third-party services, software, content, or websites. Those third-party offerings are governed by their own terms and policies, and RedBuilt is not responsible for them. The Services may also include open-sfce software, which is subject to the applicable open-source license terms. Nothing in this Agreement limits your rights under those open-source license terms.
10. No Warranties; Disclaimers.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” REDBUILT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. REDBUILT DOES NOT WARRANT THAT THE SERVICES OR ANY OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETE, OR THAT THEY WILL MEET YOUR REQUIREMENTS OR EXPECTED RESULTS. THE SERVICES ARE INTENDED FOR USE BY TRAINED PROFESSIONALS. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL OUTPUT, AND A QUALIFIED DESIGN PROFESSIONAL MUST REVIEW OUTPUT FOR SUITABILITY, CODE COMPLIANCE, AND ADEQUACY FOR THE INTENDED APPLICATION.
11. Limitation of Liability.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REDBUILT AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF REDBUILT AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES WILL NOT EXCEED FIFTY U.S. DOLLARS (US$50).
12. Indemnification.
You will defend, indemnify, and hold harmless RedBuilt, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any third-party claims, actions, proceedings, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to (a) your access to or use of the Services, (b) your Services Data, or (c) your breach of this Agreement.
13. Term and Termination.
This Agreement begins when you accept it and continues until terminated. You may terminate this Agreement at any time by stopping all use of the Services. RedBuilt may suspend or terminate your access to all or any part of the Services immediately if you breach this Agreement or if RedBuilt suspends or discontinues the Services. Upon termination or expiration of this Agreement, your right to access and use the Services will end immediately, and you will cease all use of the Services and delete any locally stored components of the Services in your possession or control. Termination or expiration of this Agreement will not affect any provision that by its nature should survive, including Sections 5, 8, 9, 10, 11, 12, 14, 16, and 17, and RedBuilt may continue to exercise any rights granted under this Agreement with respect to Services Data, Usage Data, Feedback, and aggregated or de-identified data. Termination or expiration of this Agreement will not affect any accrued rights or remedies of either party.
14. Export and Sanctions Compliance.
You will comply with all applicable export, re‑export, and sanctions laws and regulations. You will not access or use the Services in an embargoed country or by a prohibited party.
15. U.S. Government End Users.
The Services and documentation are “commercial items,” consisting of “commercial computer software” and “commercial computer software documentation,” as 48 C.F.R. §§ 2.101 and 12.212 use those terms. U.S. Government end users may use the Services only under the terms of this Agreement.
16. Governing Law; Dispute Resolution.
Governing Law; Venue. This Agreement and any dispute arising out of or relating to this Agreement or the Services will be governed by the laws of the State of Idaho, without regard to its conflict-of-laws principles. Subject to the arbitration provision below, the state and federal courts located in Ada County, Idaho will have exclusive jurisdiction, and each party irrevocably consents to the personal jurisdiction of, and venue in, those courts.
17. General.
Entire Agreement. This Agreement constitutes the entire agreement between you and RedBuilt regarding the Services and supersedes all prior and contemporaneous understandings, agreements, representations, and communications regarding the Services.
Severability; Waiver. If any provision of this Agreement is held unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the remaining provisions will remain in full force and effect. No failure or delay by either party in exercising any right, remedy, power, or privilege under this Agreement will operate as a waiver.
Assignment. You may not assign or transfer this Agreement, in whole or in part, without RedBuilt’s prior written consent. Any attempted assignment in violation of the foregoing is void. RedBuilt may assign or transfer this Agreement without restriction.
